Brief
We are currently looking to recruit up to four
solicitors to join the Manchester Corporate Group, ideally two
candidates who have from 1 year+ PQE and two who have from 3 years+
PQE.
We are looking for strong corporate lawyers with
experience in corporate finance, M&A, listed PLC and AIM work
and corporate governance. At least one of the successful
candidates will have a strong working knowledge of, and good
experience in, the private equity market and private equity
transactions.

some 120 lawyers, including more than 35 partners.
Our Corporate lawyers work with clients at the forefront of
their strategic development advising on mergers, acquisitions,
disposals, flotations, takeovers, buy-ins and buyouts, joint
ventures and investments. Our detailed knowledge and close
working relationships with other professionals enables us to
achieve the right structure for deals and to bring together
appropriate funders and entrepreneurial investors.
We make it our business to understand the markets our clients
are in and their business aspirations and pressures. When a deal
needs to be done we bring together the players to make it
happen.

We advise listed companies and their institutional advisers on
all aspects of their businesses. Our Corporate Finance lawyers have
considerable City experience and well-established relationships
with City advisers and institutions.
We have extensive experience of advising on public takeovers,
both recommended and contested; flotations/initial public
offerings; secondary issues including rights issues, placings and
open offers; private placements; corporate governance; compliance
with companies, securities and financial services legislation
including the Listing Rules of the UK Listing Authority and the
City Code on Takeovers and Mergers.
The Candidate Required
The successful candidates will ideally have
gained experience in a City firm or large regional practice.
Candidates must be technically excellent but equally important,
commercially aware and enthusiastic about business
development. They will be a team player with a strong client
focussed approach. They will also have a strong academic background
and excellent communication and organisational skills.
Examples of Recent Work
- Acting for N Brown Group plc on an £80
million return of value to shareholders by way of a B share scheme
and share consolidation.
- Advising Speedy Hire plc on its £15m placing
to fund future acquisitions.
- Acting for KPMG LLP on the £38.9 million
takeover of Infast Group plc by Eagerpost Limited.
- Advising Yates Group Limited on its
recommended cash offer for Santa Fe Group plc.
- Advising Countrywide Assured Group plc
on the £545 million demerger of its life and non-life businesses, a
return of capital to shareholders and the new main market listings
of Countrywide plc (mortgage products and financial services) and
Chesnara plc (life assurance).
