Brief

We are currently looking to recruit a corporate lawyer from 1 year post qualification experience to join the Birmingham Corporate Group.

Pinsent Masons has a large national corporate group comprising some 100 lawyers, including more than 35 partners.  

Our Corporate lawyers work with clients at the forefront of their strategic development advising on mergers, acquisitions, disposals, flotations, takeovers, buy-ins and buyouts, joint ventures and investments. Our detailed knowledge and close working relationships with other professionals enables us to achieve the right structure for deals and to bring together appropriate funders and entrepreneurial investors.

We make it our business to understand the markets our clients are in and their business aspirations and pressures. When a deal needs to be done we bring together the players to make it happen.

We advise listed companies and their institutional advisers on all aspects of their businesses. Our Corporate Finance lawyers have considerable City experience and well-established relationships with City advisers and institutions.

We have extensive experience of advising on public takeovers, both recommended and contested; flotations/initial public offerings; secondary issues including rights issues, placings and open offers; private placements; corporate governance; compliance with companies, securities and financial services legislation including the Listing Rules of the UK Listing Authority and the City Code on Takeovers and Mergers.

The candidate required

The successful candidate will be an experienced M&A lawyer with a good academic background from a similar national, large regional or City firm used to handling complex, large scale M&A transactions for listed and unlisted companies and institutional clients. The team is friendly and committed and a team player is needed to assist with an increasing workload of high quality transactional instructions.

Examples of recent work

  • Acting for N Brown Group plc on an £80 million return of value to shareholders by way of a B share scheme and share consolidation.
  • Advising Speedy Hire plc on its £15m placing to fund future acquisitions.
  • Acting for KPMG LLP on the £38.9 million takeover of Infast Group plc by Eagerpost Limited.
  • Advising Yates Group Limited on its recommended cash offer for Santa Fe Group plc.
